IP & Non-Disclosure (NDA)

1. Purpose & Scope

This Intellectual Property & Non-Disclosure (NDA) Policy outlines the strict confidentiality and proprietary protection standards enforced by Loomport Sourcing U.K Ltd (“the Company,” “we,” “us,” or “our”) across its UK corporate office and Lahore sourcing operations.

In the global garment and textile manufacturing industry, design secrecy, technical specifications, and trade data represent critical business assets. This policy governs how we protect, handle, and secure all proprietary information shared by our international retail clients, fashion brands, importers, wholesalers, and institutional buyers (“the Client”).

2. Definition of Confidential Information

“Confidential Information” encompasses all non-public, proprietary technical and business assets provided by the Client to LoomPort Sourcing U.K Limited, including:

  • Design & Technical Assets: Tech packs, garment sketches, flat drawings, CAD files, pattern gradings, sizing charts, cut-and-sew specifications, and color formulas/lab dip references.
  • Branding & Packaging: Custom logos, brand labels, neck tags, hangtags, barcodes, embroidery artwork, and retail packaging layouts.
  • Commercial & Trade Data: Target FOB/CIF pricing, purchase volume forecasts, supplier contracts, delivery timelines, and product launch roadmaps.
  • Proprietary Material Blends: Custom yarn blends, fabric knits, weaving patterns, and specialized chemical finishes developed specifically for the Client.

3. Ownership of Intellectual Property

  • Client IP Rights: All intellectual property, trademarks, trade secrets, designs, and tech packs provided by the Client remain the exclusive and perpetual property of the Client. LoomPort Sourcing U.K Limited acquires no rights, title, or interest in or to the Client’s intellectual property.
  • Custom Development: Any counter-samples, physical prototypes, patterns, or lab dips produced during sampling or bulk manufacturing based on Client specifications remain the proprietary IP of the Client.

4. Non-Disclosure & Restricted Use Obligations

LoomPort Sourcing U.K Limited formally covenants and agrees:

  • Exclusive Purpose: To use Client designs, tech packs, and commercial information solely for the evaluation, sampling, pricing, and manufacturing of orders placed by the Client.
  • Zero Commercial Exploitation: Never to sell, copy, duplicate, reverse engineer, display, or distribute Client designs or custom apparel concepts to third parties, competing retailers, or market vendors.
  • No Unauthorized Counter-Samples: Factory partners are strictly prohibited from using Client molds, patterns, screens, or excess fabric to produce unauthorized overruns or sell duplicate stock into domestic or export markets.

5. Supply Chain Disclosures & Factory NDA Protocols

  • Need-to-Know Basis: Client technical data is shared exclusively with authorized merchandising personnel, QA inspectors, and selected partner manufacturing mills on a strict “need-to-know” basis to facilitate sampling and production.
  • Binding Manufacturer Agreements: Every manufacturing facility within our audited network in Pakistan operates under legally binding back-to-back non-disclosure agreements, holding them contractually and financially liable for any intellectual property misuse or leak.

6. Data Security & Asset Destruction

  • All digital tech packs, artwork files, and pattern data are stored in secure, access-restricted repositories.
  • Upon completion of a production run or upon written request from the Client, LoomPort Sourcing U.K Limited will securely archive, return, or permanently delete digital tech packs, and oversee the decommissioning of custom print screens or embroidery files at the factory floor.

7. Breaches & Remedies

The Company acknowledges that unauthorized disclosure or misuse of the Client’s intellectual property causes irreparable commercial harm. In the event of an intellectual property violation by an affiliated manufacturing unit, LoomPort Sourcing U.K Limited will immediately terminate production ties with the offending facility, assist the Client with full audit disclosures, and cooperate in necessary legal and injunctive remedies.

8. Standalone Corporate NDA Requests

For institutional buyers, retail chains, and luxury apparel brands requiring a bilateral, formally executed standalone Non-Disclosure Agreement (MNDA), our UK corporate legal desk will review, sign, and seal your standard corporate NDA prior to tech pack submission.

9. Legal Jurisdiction & Contact
