1. Introduction & Company Identity

These Terms and Conditions (“Terms”) govern your use of the website loomportsourcing.com and all commercial sourcing, manufacturing management, sampling, and buying agency services provided by Loomport Sourcing U.K Ltd (“the Company,” “we,” “us,” or “our”).

By accessing our website, requesting quotations, or placing sourcing and manufacturing orders with us, you (“the Client,” “Buyer,” or “User”) agree to be legally bound by these Terms.

2. Scope of Services

LoomPort Sourcing U.K Limited acts as an independent buying and sourcing agency bridging international buyers with verified textile and apparel manufacturing facilities in Pakistan. Our services encompass product sourcing, supplier evaluation, technical sampling, price negotiations, production tracking, quality inspections (QA/QC), packaging supervision, and export logistics coordination.

3. Quotations, Pricing & Order Placement

  • Validity: All formal quotations, cost sheets, and price estimates (FOB, CIF, or DDP) remain valid for the period specified on the formal quotation (standard 30 days), subject to international raw material (yarn/cotton) and currency exchange fluctuations.
  • Order Confirmation: Orders are formally executed upon mutual signing of the Purchase Order (PO) / Proforma Invoice (PI) and receipt of the agreed deposit or irrevocable Letter of Credit (LC).

4. Sampling & Product Development

  • Technical Approval: Mass production commences only after the Client provides written approval for counter-samples, size sets, lab dips, and trim cards.
  • Development Charges: Sample development costs, courier charges, and specialized pattern tooling must be settled as per the initial agreement before sample dispatch unless explicitly waived in writing.

5. Quality Assurance, Tolerances & AQL Standards

  • Inspection Protocol: Products are manufactured and inspected according to international Acceptable Quality Limit (AQL) 1.5/2.5 standards for apparel and home textiles.
  • Industry Tolerances: Commercial tolerances for fabric GSM (+/- 5%), dimensional stability/shrinkage (+/- 3% to 5% per fabric type), and standard laboratory shade lot variations are acknowledged and accepted under standard international textile manufacturing norms.

6. Intellectual Property & Tech Pack Confidentiality

  • All proprietary designs, tech packs, patterns, artwork, logos, and custom specifications supplied by the Client remain the exclusive intellectual property of the Client.
  • LoomPort Sourcing U.K Limited warrants that Client designs will only be shared with authorized partner factories strictly for sampling and production execution, protected under commercial non-disclosure obligations.

7. Delivery, Shipping & Force Majeure

  • Lead Times: Estimated production schedules and shipment dates are established based on Time & Action (T&A) calendars agreed upon at order confirmation.
  • Force Majeure: We are not liable for production delays or logistics failures resulting from events beyond reasonable control, including natural disasters, extreme weather, strikes, port congestions, armed conflict, customs embargoes, or raw material supply chain disruptions.

8. Inspection Claims & Dispute Resolution

  • Claim Timeframe: Any claims regarding manufacturing defects, quantity discrepancies, or non-conforming shipments must be submitted in writing within 14 business days of cargo receipt at the destination port/warehouse, supported by official inspection photographic evidence and AQL defect reports.
  • Resolution: In the event of a verified manufacturing defect exceeding agreed AQL parameters, LoomPort Sourcing U.K Limited will coordinate rectifications, replacement goods, or credit adjustments in collaboration with the manufacturing mill.

9. Limitation of Liability

To the maximum extent permitted by UK law, LoomPort Sourcing U.K Ltd shall not be liable for any indirect, incidental, punitive, or consequential damages (including loss of profits, commercial resale losses, or brand reputation damage) arising out of manufacturing delays or shipping schedules.

10. Governing Law & Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any commercial disputes that cannot be settled amicably shall be subject to the exclusive jurisdiction of the Courts of England and Wales.
